What a registered office actually is

A registered office is the address a company files with ACRA as its official address of record — the place where legal documents and formal notices may be served on it. Every Singapore-incorporated company must have one from the date of incorporation. It must be a physical address in Singapore, and a P.O. box will not do.

Why you need the address before you have the company

The requirement comes from section 142 of the Companies Act 1967: a company must have a registered office in Singapore from the date it is incorporated.

That produces a sequence which catches out most first-time founders — and every founder incorporating from overseas. The address is a required field in the incorporation filing itself, so it has to exist, and you have to be entitled to use it, before the company does.

  1. Secure the address

    You need a physical Singapore address you are entitled to use, before anything is filed.

  2. File the incorporation

    The registered office address is a required field in the BizFile incorporation form.

  3. The company exists

    Only now does the entity — and its UEN — come into being.

The order is fixed: an address cannot be added afterwards, because the incorporation cannot be filed without it.

How is it different from a business address?

“Registered address”, “business address” and “office address” get used interchangeably in conversation and mean different things on a form. Only the first is a filing obligation.

  • Registered office

    Required

    The official address of record, where legal documents and formal notices are served on the company. Must be a physical address in Singapore.

  • Business / correspondence address

    Optional

    Where you choose to receive day-to-day post. It may be the same as the registered office, or entirely different.

  • Operating address

    Optional

    Where the work is actually done — an office, a workshop, a home. Nothing requires it to match the registered office.

  • P.O. box

    Not accepted

    A numbered box at a post office rather than premises. Documents cannot be served on a company there.

Only the registered office is filed with ACRA and appears on the public register.

Must it be open to the public for three hours a day?

Search this and you will meet a confident claim that it must — and an equally confident claim that the rule has been abolished. Both are circulating. The honest answer is that this is currently unsettled, and here is exactly why.

The three-hour requirement still stands

A registered office must be open and accessible to the public for at least three hours during ordinary business hours each day, excluding weekends and public holidays. Failure is an offence carrying a fine of up to S$5,000 plus a default penalty.

What the amending Act does

Fixed opening hours are to be removed

The Corporate and Accounting Laws (Amendment) Act 2025 replaces fixed minimum opening hours with a regime under which a person entitled to inspect a record must first give the company reasonable notice. The Act commences in phases.

Where that leaves you. ACRA’s announcement of the changes commencing on 6 May 2026 covers director penalties, misuse of companies, audit accountability and share buybacks — it does not list the registered-office hours change. Until commencement is confirmed, treat the published requirement as live. In practice the safe course is identical either way: file an address where a person genuinely receives and handles post.

What are the deadlines when the address changes?

Moving your registered office is a filing, not just a house move. ACRA must be notified of a change in an entity’s particulars within a fixed window, through BizFile.

  • Singapore-incorporated company14 days

  • Registered foreign company30 days

    The longer window reflects filing from outside Singapore.

Late notification can attract a penalty. The clean-up usually runs wider than the filing: bank and regulator records, letterheads and invoices, and any contract that names an address for the service of notices.

If you are incorporating from overseas

The requirement applies identically to founders outside Singapore, and the sequencing above is the whole planning problem: you cannot complete incorporation without a Singapore registered office address, so it must be arranged first.

Two things are commonly missed. The address appears on ACRA’s public register, so it is searchable by anyone. And because service at that address is effective whether or not you are in the country, an address with nobody attending to the post is a genuine risk rather than an administrative detail — a deadline can pass while the envelope sits unopened.

Common questions

Can I use my home address as my registered office in Singapore?
Often yes, but it is not automatic. Using residential premises for business is governed by the Home Office Scheme — administered by HDB for flats and URA for private residential property — and that scheme restricts which activities may be carried on. Separately, a registered office address appears on ACRA’s public register, so a home address becomes publicly searchable. Both points are worth weighing before you file it.
Is a registered office the same as where I actually work?
No. They are frequently the same, but nothing requires it. The registered office is the address of record for the formal service of documents. Your operating address is where the business is carried on. A company can run from a co-working space, a home, or overseas while its registered office is elsewhere.
What happens if documents are served and nobody reads them?
Service at the registered office is generally treated as effective service on the company, whether or not anyone opened the envelope. That is the practical risk: a court document, a tax assessment or a regulatory notice can carry a deadline that keeps running. It is why the address you file should be one where post is genuinely handled, not merely one that exists.
How quickly must I notify ACRA when my registered office changes?
Within 14 days of the change for a Singapore-incorporated company, and within 30 days for a registered foreign company. The filing is made through BizFile. Late notification can attract a penalty, so it is a deadline worth diarising rather than discovering.
Does a registered office still have to be open to the public for three hours a day?
This is currently unsettled. ACRA’s published list of common offences still states the requirement that a registered office be open and accessible to the public for at least three hours on each business day. The Corporate and Accounting Laws (Amendment) Act 2025 legislates the removal of fixed minimum opening hours, replacing them with a regime of reasonable notice before inspection — but that Act commences in phases, and ACRA’s announcement of the changes commencing on 6 May 2026 does not list this among them. Until the commencement position is clear, the prudent reading is that the published requirement still stands.
